Welcome to TextileDaddy.com, India’s No.1 Online B2B Platform for the Textile Industry. These Vendor Terms & Conditions (“Agreement”) constitute a binding contract between Textile Daddy Private and the Vendor governing your participation and business activities on the Platform.

By registering, listing, or transacting on the Platform, you acknowledge that you have read, understood, and agreed to comply with these Terms & Conditions, as well as all other applicable policies and notices of the Company.

• Vendors must list only products they are legally authorized to sell.
• All listings must contain accurate details including specifications, pricing, images, and stock.
• Vendors must fulfil all confirmed orders promptly and handle returns or warranty obligations as per policy.
• Vendors shall not engage in false, misleading, or deceptive trade practices.
• Vendors must maintain all necessary business licences and certifications.
• Vendor agrees to comply with applicable import/export, safety, labelling, and quality standards.

• Once a payment has been made to the Vendor, it shall be deemed final and non-refundable.
• Vendors are required to provide accurate bank details for settlements.
• The Platform shall not be responsible for payment delays due to incorrect information provided by the Vendor.
• Refunds or chargebacks will not be processed unless expressly agreed upon in writing.

• Vendor grants the Platform a non-exclusive, royalty-free licence to use its trademarks, images, and descriptions for marketing and listing purposes.
• Vendor represents that it owns or is authorized to use all materials uploaded.
• The Platform retains ownership of its software, brand, database, and domain.

• Vendor agrees to indemnify and hold harmless the Platform and its affiliates from all claims or losses arising from product defects, misrepresentation, or non-compliance.
• The Platform’s total liability will not exceed the total fees paid by the Vendor in the 12 months preceding the claim.
• The Platform shall not be liable for indirect or consequential damages.

• The Platform reserves the right to review, approve, reject, or remove any Vendor listing at its discretion.
• Listings may be suspended/rejected for reasons including poor performance, false information, or legal non-compliance.
• Vendors may be asked to provide test reports, certificates, or samples for verification.

• Vendor consents to the Platform’s collection, storage, and use of Vendor data for operational and analytical purposes.
• The Platform will maintain confidentiality of business and technical information shared by the Vendor.
• Vendors must comply with applicable data protection laws while handling customer information.

• Vendors/Advertisers agree to make timely payments and ensure cheque payments are honoured.
• Bounced cheques or stop payments will invite legal action under the Negotiable Instruments Act, 1881.
• Vendors affirm that they are legitimate businesses and that all information provided is true and lawful.
• Textile Daddy is not responsible for the quality or legality of products advertised by Vendors.

• Textile Daddy does not guarantee any minimum number of Inquiry or conversions.
• The Platform’s responsibility is limited to displaying Vendor listings as submitted.
• Vendors are solely responsible for the accuracy of their listings and any claims made therein.

• All subscriptions are non-refundable, including early cancellations or dissatisfaction.
• Cancellations can be made anytime but remain active until the end of the current billing cycle.
• The Platform reserves the right to terminate subscriptions for policy violations or fraudulent activity without refund.
• In rare cases, refunds may be issued at the sole discretion of the Company.

• Only individuals or entities capable of forming legally binding contracts may use the Platform.
• Users under the age of 18 or those restricted under the Indian Contract Act, 1872 are not eligible.
• By registering as a business entity, the user confirms they are authorized to bind the company to this Agreement.

Each party shall treat as confidential any non-public business or technical information of the other and not disclose it to third parties without prior consent. This obligation continues for two (2) years after termination of this Agreement.

Notices to Vendors will be sent via the email or address provided at registration and will be deemed delivered after 24 hours (email) or 3 days (registered mail).

• Either party may terminate this Agreement by giving 30 days’ written notice.
• The Platform may suspend or terminate the Vendor’s account immediately for material breach, fraud, or illegal activity.
• Upon termination, Vendor listings will be removed and any pending settlements processed after deductions.

To maintain transparency and trust across the Textile Daddy platform, certain tags may appear on the homepage, product listings, and service listings. These tags help customers quickly understand the quality and credibility of products and service providers.

• This Agreement represents the entire understanding between both parties.
• Any amendment must be in writing and signed by authorized representatives.
• If any clause is found invalid, the remainder of the Agreement remains effective.
• Vendors cannot assign their rights without prior written consent.
